PARALEGAL – COMMERCIAL, CORPORATE GOVERNANCE AND COMPLIANCE

SURREY

PERMANENT ROLE


Role Overview:


Morgan Philips Specialist Recruitment are presently representing an international aviation fuel supplier in their search for an organized and detail-oriented Paralegal to join their Surrey based team. The successful candidate will support the Legal Manager and Company Secretary with day-to-day commercial legal matters, entity management, and the company’s compliance programme.

This role is integral to a small, high-performing team, ensuring adherence to corporate governance requirements, maintaining accurate corporate records, and providing efficient legal and administrative support to the wider business.


Responsibilities:


  • Support compliance activities, including reviewing and updating internal policies and procedures, including KYC processes.
  • Conduct KYC checks and due diligence, maintaining accurate and up-to-date records and databases.
  • Assist with the review and drafting of NDAs and other commercial contracts.
  • Provide company secretarial support, including the incorporation, maintenance, management, and dissolution of group entities.
  • Manage Companies House filings and other corporate governance submissions, ensuring statutory records are accurate and up to date.
  • Liaise with international corporate service providers to support the administration and maintenance of non-UK entities.
  • Act as a key point of contact for internal stakeholders, liaising with group functions and departments to support legal, company secretarial, and compliance activities.
  • Maintain statutory books, corporate records, and organisational documentation across the group.
  • Track key deadlines and regulatory filings, including annual reports, confirmation statements, and other statutory obligations.
  • Maintain and update group organisational charts and entity data.
  • Prepare board minutes, written resolutions, and other corporate governance documentation, and liaise with external and overseas counsel where required.
  • Support insurance-related administration, including coordination of renewals and documentation (if applicable).
  • Provide general administrative support to the legal, company secretarial, and compliance functions.
  • Monitor and report on relevant legislative and regulatory developments impacting the business.


Desired qualifications and requirements:


  • Law degree
  • 1–2 years’ experience as a paralegal either in a private practice or an in house environment.
  • Experience reviewing and drafting commercial contracts, including NDAs.
  • Good understanding of corporate governance principles.
  • Strong written and verbal communication skills, with the confidence to engage directly with business stakeholders.
  • Ability to work independently, take ownership of tasks, and deliver accurately within tight deadlines.
  • Highly organised, methodical, and detail-oriented, with a strong focus on completing work to a high standard.
  • Excellent time management skills, with the ability to prioritise and manage multiple workstreams simultaneously in a fast-paced environment.
  • Experience using equity management software is desirable but not essential.
  • Keen to develop professionally, with potential and interest in pursuing the SQE qualification.
